These Terms govern your use of Harbor CRM (the "Service") provided by Helm Digital LLC ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Harbor CRM is a web-based customer relationship management application. We may update or improve the Service over time.

2. Your account

You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account. If you create an account on behalf of an organization, you confirm you have authority to bind it.

3. Acceptable use

You must not: (a) use the Service unlawfully or fraudulently; (b) infringe intellectual property; (c) introduce malware or attempt to probe, scan, or breach security; (d) scrape or extract data without permission; (e) resell or redistribute the Service.

4. Email sending and anti-spam

Harbor CRM lets you send email campaigns to contacts you have imported. You are solely responsible for the contacts you upload and the messages you send. By using the email features you represent and warrant that:

We may, without notice, throttle, suspend, or terminate your access to email features (and your account) if your sending generates abnormal bounce, complaint, or spam-trap rates, or if we have a reasonable belief that you are violating this section. You agree to indemnify and hold Helm Digital LLC harmless from any claims, fines, deliverability penalties, or third-party costs arising from your use of the email features.

5. Intellectual property

Helm Digital LLC retains ownership of the Service, including software, documentation, and branding. You receive a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

6. User content

You retain ownership of data you input (including customer records and email content). You grant us a limited license to host, process, and transmit it solely to provide the Service.

7. Service level

We aim for high availability but do not guarantee uninterrupted or error-free performance. Email deliverability depends on factors outside our control (recipient mail servers, your domain reputation, recipient engagement). We disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.

8. Payment, billing, and refunds

Payments are processed by Stripe, which acts as merchant of record on covered transactions and handles tax calculation, collection, filing, and remittance on our behalf. Payment, billing, tax, cancellation, and refund mechanics are governed by Stripe's terms and our Refund Policy.

9. Plan limits

Each plan has limits (e.g. number of customers, emails per day/month, emails per blast). Exceeding limits may block further sends until the next reset or until you upgrade. We may adjust limits with reasonable notice.

10. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, anti-spam violations, or repeated policy violations. On termination, you may export your data within 30 days, after which it may be deleted.

11. Liability

To the fullest extent permitted by law, our aggregate liability is capped at the fees you paid in the 12 months prior to the claim. We exclude indirect, consequential, or special damages (including loss of profits, data, or goodwill). Nothing in these Terms excludes liability for fraud, death, or personal injury where prohibited by law.

12. Indemnity

You agree to indemnify Helm Digital LLC for claims arising from your content, the contacts you upload, the emails you send, unlawful use, or breach of these Terms.

13. Changes

We may update these Terms. Continued use after changes constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Helm Digital LLC is established. Disputes are subject to the exclusive jurisdiction of those courts.
